Product License Agreement

This Product License Agreement (“Agreement”) is between Nui Studios in Finland (“Nui Studios”) and the recorded owner of a Nui Studios product license (“you”). It forms part of the Terms of Service.

• Product means the model, scripts, interface, documentation, updates, and related materials identified on a Nui Studios product page.
• License means the revocable, limited permission recorded by our licensing service.
• Owner means the Roblox account to which ownership is recorded.
• Holder means the account currently authorised to use the License. The Holder is the Owner unless the License is lent.
• Experience includes a user-owned Roblox experience and an experience owned by a Roblox group whose owner is the Holder.

Subject to valid acquisition, continued compliance, any stated expiry, and the License remaining active, Nui Studios grants the Holder a personal, limited, non-exclusive, non-transferable except as expressly described here, and non-sublicensable right to install and use the Product in Roblox Experiences that the Holder owns or controls through ownership of the relevant Roblox group.

Unless a product page expressly states otherwise, a License may be used across multiple eligible Experiences owned by the same Holder. It may not be pooled among unrelated users or used simultaneously by the Owner while held by a borrower.

Nui Studios and its licensors retain all ownership and intellectual-property rights in the Product. You acquire a License, not ownership of the Product or its source materials. Roblox and third-party names, marks, and platform materials remain the property of their respective owners.

You retain ownership of original content you create independently. Incorporating a Product into an Experience does not give Nui Studios ownership of that Experience, but does not transfer ownership of the Product to you.

You may configure and reasonably modify a Product as needed for an eligible Experience, provided that you preserve required licensing and security functions and do not use modifications to evade this Agreement.

You may allow your authorised development team to work with the Product solely on your behalf and only to the extent necessary for your eligible Experience. You remain responsible for their conduct and must ensure they do not retain, reuse, disclose, or redistribute the Product outside that work.

Unless Nui Studios gives prior written permission, you must not:

• sell, resell, rent, sublicense, publish, upload, leak, distribute, or make the Product available as a standalone asset;
• share files, source, download links, product verification secrets, or access credentials with another person except an authorised developer acting for you;
• remove, bypass, forge, disable, obscure, or interfere with licensing, attribution, integrity, or security controls;
• extract substantial parts to create or distribute a competing or substitute product;
• claim authorship or ownership of Nui Studios materials;
• use one License for an Experience owned by an account other than the current Holder;
• use the Product after expiry, suspension, revocation, or termination; or
• use the Product in unlawful, infringing, malicious, deceptive, or Roblox-prohibited content.

Where the product is marked lendable, the Owner may assign the Holder role temporarily to another Roblox account through the website. Lending does not sell or transfer ownership.

• The borrower may use the License only while recorded as Holder.
• The Owner cannot use the same License during the loan.
• The Owner may withdraw the License at any time without the borrower’s approval.
• The borrower may return it at any time.
• The borrower must not pass it to a third account, resell it, or treat it as permanent.
• The Owner is responsible for choosing the correct borrower account.

Access ends through the Product’s next successful license check or, during an outage, no later than expiration of the last valid signed authorization lease.

User-controlled transfers are not generally available. Nui Studios may transfer a License administratively to correct an acquisition error, resolve an account migration, fulfill a documented agreement, respond to account compromise, or address another legitimate support case. We may require reasonable evidence of authority and may refuse a transfer where ownership is disputed or fraud is suspected.

An ownership transfer ends any active loan. The new Owner becomes the Holder. Roblox account sales or transfers do not automatically transfer a Nui Studios License.

A License is lifetime unless its product page or license record states an expiry. “Lifetime” means for as long as Nui Studios lawfully offers or supports the Product and License under this Agreement; it does not guarantee perpetual hosting, Roblox compatibility, updates, or operation of third-party services.

Updates may replace earlier versions and may be required for security, licensing, or Roblox compatibility. We may discontinue an old version where continued operation would be insecure, unlawful, technically impracticable, or incompatible with Roblox.

The Product may periodically contact the Nui Studios licensing API. Verification uses the requesting Roblox place, its user or group owner, the current License Holder, license state, and expiry. Signed authorizations may remain valid for a limited lease during temporary service failures.

You must allow required server-side HTTP requests and may not falsify verification data. Local Studio development may use the Product’s documented development behavior, but that behavior does not authorise production use without a valid License.

We may suspend or revoke a License for payment reversal, fraud, unauthorised distribution, credential exposure, abusive API traffic, intellectual-property infringement, security risk, unlawful use, material breach, or where required by Roblox, a court, or law.

Suspension temporarily prevents use. Revocation terminates the License unless restored by Nui Studios. We may act immediately where necessary to prevent harm. You may contact support to request review. Mandatory consumer remedies remain unaffected.

When a License expires, is revoked, or this Agreement terminates, you must stop using the Product and remove accessible copies from affected Experiences and team resources, except copies retained solely where legally required. Provisions on ownership, restrictions, liability, and disputes survive.

Product pages may identify documentation and supported versions. Unless expressly promised in writing, no particular response time, feature roadmap, bespoke integration work, or indefinite compatibility is included.
